CSE LIVE! 2023 EXHIBITING TERMS AND CONDITIONS
This is a contractual agreement with CSE Live, a National Event Marketing Group Inc. division, for Exhibitor Booth Rental space at CSE Live at the Evergreen Brick Works, 550 Bayview Ave, Toronto, ON M4W 3X8 on May 1 to 2, 2023.
1.0 DEFINITIONS
"Agreement" will mean this Contract for Exhibit Booth Rental.
The term "Exhibitor' will mean the organization, company or individual who has entered into this Agreement.
The term "Exhibit Space" will mean the contracted space occupied by the Exhibitor in the 'Venue'
The term "Venue" will mean the Exhibit Hall or vendor locations that are part of CSE Live, including Evergreen Brick Works.
The 'Producer" will mean all employees, representatives and agents of CSE Live, a division of National Event Marketing Group Inc. producers of CSE Live.
2.0 EXHIBITOR APPLICATION
All applicants for Exhibitor Booth Rental are required to complete the Exhibitor Registration Form and sign the waiver agreeing to the terms and conditions. The Producer reserves the right to determine the eligibility of applicants to exhibit and to reject or prohibit registered applicants/organizations from exhibiting.
3.0 PAYMENT
Full payment is required when the Registration of Exhibitor Booth Rental is submitted. Payment is accepted by credit card only. E-transfers are possible by request.
13% HST will be added to all exhibit booth rental fees and payment transactions.
The payment is non-refundable (see Paragraphs 4.0 and 5.0 below) unless the Producer is responsible for cancelling the event in an instance, not due to a force majeure.
4.0 CANCELLATION POLICY
The Producer reserves the right to terminate the agreement immediately and to withhold from the Exhibitor possession of the Exhibitor Space if the Exhibitor fails to provide payment or refuses to abide by the terms and conditions in this Agreement. In this occurrence, the Exhibitor will be prohibited from setting up Exhibit Space and/or asked to leave the Venue.
5.0 EXHIBIT SPACE CANCELLATION
Exhibit Space must be canceled in writing. Cancellations received 60 days or more prior to the first show day - 100% of booth payments will be refunded. Cancellations received 60 before the first show day will receive a 50% refund and a credit for the next show. Cancellations received 30 before the first show day or Exhibitors who fail to occupy booth space without notice, 0% Exhibitor will be liable for any unpaid balance of the contract.
6.0 SPACE INCLUSIONS
All exhibitors can choose a stand-alone booth without pipe and drape, but it must be open on all four sides and be built in alignment with the show floor plan. Specific locations are available for stand-alone booths. Exhibitors will work with their show manager from CSE to choose these locations. Carpet, furnishings, décor, etc., are the sole responsibility of the Exhibitor unless otherwise stated in this contract. Exhibitors will be responsible for the setup of their exhibit, power, rigging, Wi-Fi, and all other booth furnishings. The Exhibitor agrees to confine its activities to the exhibit space.
7.0 ASSIGNMENT OF SPACE
Exhibit space will be allocated by Show Management. Show Management reserves the right to relocate exhibits that may be affected by a change in the floor plan, or in the interests of optimum traffic control and exhibit exposure. Show Management will not be held liable if competitive exhibitors are adjacent to or opposite each other, but all efforts will be made to allocate space to avoid such instances.
8.0 SUBLETTING
The Exhibitor cannot assign, sublet, or apportion any part of the allocated space to a third party.
9.0 SHOW MANAGEMENT LIABILITY AND EXHIBITOR'S INSURANCE
National Event Marketing Group Inc. is not liable for any damage, loss, theft, or destruction to any property belonging to the Exhibitor, or for any injury or loss of life to any person, caused during or in connection with the Exhibition. Exhibitors are liable for and will indemnify and hold harmless National Event Marketing Group Inc., and its affiliates, related companies, directors, officers, employees, and agents from any liability, claims, demands, or proceedings related to their participation, products, or services. Exhibitors must provide a certificate of insurance with a minimum of $2,000,000.00 General Liability Coverage and name National Event Marketing Group Inc. and the building owner as additional insured. National Event Marketing Group Inc. is not liable if it is prevented from holding the show or allowing the Exhibitor to occupy the rented space due to circumstances beyond its control, and it shall have no further obligation or liability to the Exhibitor. Exhibitors must use officially appointed contractors for all electrical work, and not interfere with the show premises' services.
10.0 SET-UP
Exhibitors must follow the specified time schedule for setting up. No changes to displays are allowed during show hours, and displays must not protrude beyond the allocated booth dimensions or obstruct neighboring booths. The maximum height of any display is 8 ft., except in cases of pre-arrangement with show management. Exhibitors are not allowed to attach to walls, structural supports, or flooring by nails, screws, bolts, or permanent cement, nor suspend anything from the ceiling or rafters. Exhibitors cannot permit any unfinished surface to face neighboring booths. Show Management reserves the right to restrict the use of glaring or irregular lighting effects.
11.0 DISMANTLING AND REMOVAL
Exhibitors cannot dismantle or remove any part of their display before the scheduled time in the Manual. Any remaining materials after the cut-off time may be removed by Show Management at the Exhibitor's expense.
12.0 NOISE AND MACHINERY
Show Management reserves the right to stop any display or running of engines or machinery that causes a disturbance, including vibration, noise, smoke, or smell. Exhibitors must comply with Show Management's request to stop the use of loudspeakers, microphones, or similar equipment.
13.0 CHARACTER AND CONDUCT
All displays and promotional literature must be in good taste and free samples may be distributed. Merchandise other than food may not be sold at cash retail prices. Raffles and giveaways may be conducted. The sale of wine, liquor, or beer is strictly prohibited in the exhibit hall. Serving of alcohol is only permitted if purchased from an approved Ontario vendor under the venue's license, and all booths serving alcohol must have the server show proof of smart serve certification.
14.0 GENERAL SHOW AREA
All common areas such as lobbies, corridors, aisles, restrooms, food and beverage concessions, and special assembly rooms will be used for the movement and flow of the public and/or for their entertainment and convenience. Exhibitors are not permitted to use these areas for the display or distribution of products, services, or literature.
15.0 BADGES AND PASSES
Exhibitor badges will only be issued to companies named on the Exhibitor's application or approved by Show Management.
16.0 DAMAGE TO EXHIBITOR BOOTH RENTAL SPACE OR VENUE
The Exhibitor Booth Rental Space is to be returned in the same condition as received. No fixtures may be driven into any part of the space or venue, including the floors. The Exhibitor is responsible for any damage to the space or venue caused by the Exhibitor or their representatives.
17.0 SECURITY, SAFETY, FIRE, AND HEALTH
The Exhibitor is responsible for compliance with all local, city, and provincial safety, fire, and health ordinances regarding the installation and operation of their exhibit and shall be properly insured. Security will be provided by National Event Marketing Group Inc. throughout move-in, show, and take-down hours. Access will be limited to bona fide exhibitors and their authorized representatives. Removal of material from the show floor is prohibited, except where granted on an application to National Event Marketing Group Inc. Security will permit removal only on presentation of a property pass issued by National Event Marketing Group Inc. Invoices must be supplied to the purchaser of any merchandise sold and shown to security prior to removal.
18.0 INDEMNIFICATION
The Exhibitor agrees to indemnify and hold harmless the Producer from any and all claims, damages, loss, and expenses (including attorney's fees) arising out of or in connection with the Exhibitor's participation in the Exhibition, including but not limited to claims or suits for libel, violation of the right to privacy, plagiarism, and copyright infringement.
19.0 GENERAL
National Event Marketing Group Inc. has full discretion in the interpretation and enforcement of all terms and conditions and the authority to make amendments and additional rules necessary for the proper presentation of the show. The Exhibitor agrees to abide by all decisions of Show Management and to cease any activity that Show Management deems a violation of the terms and conditions.
20.0 CONTRACT ACCEPTANCE
By registering for CSE Live as an Exhibitor and completing the Exhibitor Application form online, you acknowledge you have read and agree to the terms and conditions above.
