1. Event Details:
- 1.1 The Organizer is hosting EVVE 2024 (the "Conference") scheduled to take place on Septmeber 10-13, 2024 at the Halifax Convention Centre
2. Sponsorship Benefits:
- 2.1 In consideration of the sponsorship fee paid by the Sponsor, the Organizer agrees to provide the Sponsor with the benefits and entitlements as specified in the sponsorship offering.
3. Payment:
- 3.1 The Sponsor shall pay the sponsorship fee as outlined in the sponsorship offering. Payment shall be made within 30 days of receiving the invoice related to this Agreement.
4. Promotion and Marketing:
- 4.1 The Sponsor grants the Organizer the right to use the Sponsor's logo, company name, and other relevant branding materials for the purpose of promoting the Conference.
- 4.2 The Sponsor may distribute promotional materials at the Conference, subject to the Organizer's approval.
5. Liability:
- 5.1 The Organizer shall not be held liable for any loss, damage, or injury incurred by the Sponsor or its representatives during the Conference.
6. Termination:
- 6.1 Either Party may terminate this Agreement with written notice if the other Party breaches any material term of the Agreement.
- 6.2 If the Sponsor terminates this Agreement, the Sponsor shall be responsible for all costs incurred by the Organizer up to the termination date, related to the sponsorship offerings. The Organizer shall provide an itemized account of these costs within 14 days of termination.
7. Confidentiality:
- 7.1 Both Parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement.
8. Governing Law:
- 8.1 This Agreement shall be governed by and construed in accordance with the laws of Canada.
9. Entire Agreement:
- 9.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and representations.
10. Modifications:
- 10.1 Any modifications to this Agreement must be made in writing and signed by both Parties.
